Terms of Service

These terms govern your use of calenta.ai and the Calenta service (the “Service”), operated by Resin LLC (“Calenta”). By using the Service you agree to these terms. If you don’t agree, please don’t use the Service. Pilot organizations may be subject to a separate pilot agreement which controls in case of conflict.

The Service

Calenta is a fundraising intelligence tool for nonprofit development teams. It connects to a customer’s CRM (Salesforce, with additional CRM support planned), layers on the customer’s organizational context and a fundraising methodology library, and produces analyses, reports, priority queues, and chat-based interactions.

Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of applicable nonprofit fundraising regulations
  • Attempt to reverse-engineer, decompile, or disassemble the Service
  • Use the Service to transmit malware, conduct security probes, or interfere with its operation
  • Resell, sublicense, or redistribute the Service or its outputs without written permission
  • Use the Service to process data you don’t have legal rights to process

Your data

You retain all rights to data you provide or that Calenta accesses on your behalf via your CRM. We process that data only to provide the Service. We do not use your data to train AI models, sell it to third parties, or share it with other tenants. See the Privacy Policy for details on how data is handled.

Calenta’s intellectual property

Calenta’s software, methodology library, prompts, outputs, and analytical frameworks are owned by Calenta. Your use of the Service does not transfer any rights in these to you. You may use Service outputs for your nonprofit’s fundraising operations but may not redistribute, resell, or incorporate them into competing products.

AI outputs

The Service uses AI models to generate analyses, recommendations, and chat responses. AI outputs may contain errors or hallucinations and should be reviewed before action is taken. Calenta is not liable for decisions made based solely on AI-generated content without appropriate human review. Always verify recommendations against your CRM data and your team’s judgment before taking material fundraising actions.

Service availability

We aim for high availability but do not guarantee uninterrupted service. The Service may experience downtime for maintenance, upgrades, or due to factors outside our control (including third-party service outages from Cloudflare, Anthropic, Salesforce, or others). During the pilot phase, we make no uptime guarantees.

Termination

You may stop using the Service at any time. We may terminate or suspend access if these terms are violated, if pilot agreements expire, or if continued operation becomes commercially unreasonable. Upon termination, you may request export and deletion of your data per the Privacy Policy.

Disclaimers

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CALENTA MAKES NO WARRANTY THAT THE SERVICE WILL BE ERROR-FREE OR PRODUCE ANY SPECIFIC FUNDRAISING OUTCOME.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CALENTA’S AGGREGATE LIABILITY UNDER THESE TERMS IS LIMITED TO FEES PAID FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM (OR $100 IF NO FEES HAVE BEEN PAID). CALENTA IS NOT LIABLE FOR INDIRECT, CONSEQUENTIAL, OR INCIDENTAL DAMAGES.

Governing law

These terms are governed by the laws of the United States and the state in which Resin LLC is registered, without regard to conflict-of-laws principles. Disputes will be resolved in the courts of that jurisdiction.

Changes to these terms

We may update these terms as the Service evolves. Material changes will be communicated to active pilots via email. The “last updated” date at the top reflects the most recent revision.
